1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and ServiceLineAI ("Company," "we," "us," or "our") regarding your use of our AI-powered receptionist service and website at servicelineai.co (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ServiceLineAI provides an AI-powered receptionist service designed for service businesses. Our Service includes but is not limited to:

  • 24/7 automated call answering and customer interaction
  • Appointment scheduling and calendar integration
  • Lead qualification and customer data collection
  • Call transcription and analytics
  • Optional call audio recording (available as an add-on service)
  • Integration with third-party calendars, CRMs, and business tools
  • Customized AI training based on your business information

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You agree to immediately notify us of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer various subscription plans, including a 14-Day Pilot, Starter, Growth, and AI Operations plans. Plan details, features, and pricing are available on our website at servicelineai.co/pricing.

4.2 Fees and Payment

You agree to pay all fees associated with your selected plan. Fees are billed monthly in advance and are non-refundable except as expressly stated in these Terms. A one-time setup fee applies to all new accounts. Payment must be made by credit card or other approved payment method.

4.3 Call Minute Overage

Each plan includes a monthly call-minute allowance. If you exceed your allotted minutes, overage charges will apply at the rates specified in your plan. Overage fees will be billed in the following billing cycle.

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fees.

4.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current billing cycle and will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increases.

5. 14-Day Pilot Program

The 14-Day Pilot program is offered at a one-time fee of $250. This program includes 300 minutes of inbound call time. We will cover up to 50 extra minutes one time during the pilot. After the included and bonus minutes are used, additional minutes are billed at $0.30 per minute. We will notify you if you are approaching your included minutes. If you upgrade to a monthly subscription plan within 15 days of completing the pilot, the $250 pilot fee will be credited toward the setup fee of the plan you choose. The pilot program is non-refundable.

6. Cancellation and Refunds

6.1 Cancellation by Customer

You may cancel your subscription at any time with 30 days' written notice. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

6.2 Refund Policy — Deployment Guarantee

We offer a Deployment Guarantee: If we are unable to connect and activate your AI agent, you will receive a full refund of all fees paid. Once the agent is live and operational, all payments are non-refundable. This includes monthly subscription fees, setup fees, and the 14-Day Pilot fee. If you cancel mid-billing cycle, you will not receive a prorated refund for the unused portion of that month.

6.3 Cancellation by Company

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. In such cases, you will not be entitled to a refund of any fees paid.

7. Customer Responsibilities

You agree to:

  • Provide accurate and complete information about your business, services, pricing, and policies
  • Ensure that your use of the Service complies with all applicable laws and regulations
  • Not use the Service for any unlawful, fraudulent, or malicious purpose
  • Not attempt to reverse engineer, decompile, or disassemble any aspect of the Service
  • Not use the Service to transmit spam, malware, or other harmful content
  • Not interfere with or disrupt the Service or servers connected to the Service
  • Maintain the security of your account and immediately notify us of any security breaches

8. Intellectual Property Rights

8.1 Company Ownership

The Service, including all software, AI models, algorithms, designs, trademarks, and content, is owned by ServiceLineAI and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8.2 Customer Data

You retain all ownership rights to your business information and customer data that you provide to the Service. By using the Service, you grant us a limited license to use your data solely for the purpose of providing the Service to you.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

9. Third-Party Integrations

The Service may integrate with third-party services such as Google Calendar, CRM platforms, and other business tools. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, functionality, or security of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

While we strive to provide accurate and reliable AI responses, we do not guarantee that the AI will handle every call perfectly or provide error-free service. The AI is a tool to assist your business, and you remain responsible for your customer interactions and business operations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICELINEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless ServiceLineAI, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your business operations and customer interactions.

13. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, available at servicelineai.co/privacy-policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

14. Call Recording and Consent

The Service transcribes and analyzes calls for quality assurance, training, and analytics purposes. Audio recording is available as an optional add-on service and is not enabled by default. If you choose to enable audio recording, you represent that you have obtained all necessary consents and permissions to record calls in your jurisdiction. You are responsible for complying with all applicable call recording laws, including providing appropriate notice to callers when audio recording is enabled.

15. Service Level and Uptime

While we strive to maintain 99.9% uptime, we do not guarantee uninterrupted availability of the Service. We may perform scheduled maintenance or experience unplanned outages. We are not liable for any loss or damage resulting from Service downtime.

16. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also add or remove features, change pricing, or update our AI models and algorithms. We are not liable for any modifications or discontinuation of the Service.

17. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

18.2 Binding Arbitration

Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction.

18.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ServiceLineAI is headquartered, without regard to conflict of law principles.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ServiceLineAI regarding the Service and supersede all prior agreements and understandings.
